A Câmara dos Deputados aprovou nesta quarta-feira (7) projeto de lei que cria as debêntures de infraestrutura, a serem emitidas por concessionárias de serviços públicos. A proposta também muda regras de fundos de investimento no setor. A matéria segue para análise do Senado.

Debêntures são títulos ao portador emitidos por empresas com promessa de pagamento de juros após determinado período, negociáveis no mercado.

Pelo texto do deputado Arnaldo Jardim (Cidadania-SP), debêntures de infraestrutura poderão ser emitidas pelas concessionárias, permissionárias e autorizadas para explorar serviços públicos. De acordo com parlamentar, o novo instrumento vai estimular o financiamento privado da infraestrutura brasileira.

Segundo Jardim, os gastos do governo federal com investimentos têm diminuído ao longo dos anos. Em 2013, foram empenhados R$ 66,7 bilhões, já em 2019 os valores caíram para R$ 42,5 bilhões. O relator afirmou ainda que um dos objetivos da proposta é atrair os investimentos dos fundos de pensão.

“Em face da carência de maiores investimentos em infraestrura, indubitavelmente o investimento privado se mostra necessário e complementar ao investimento público. Para se ter uma ideia, as debêntures incentivadas emitidas em 2019 corresponderam a 82% (R$ 34,9 bilhões) dos investimentos do governo federal naquele ano”, explicou o parlamentar.  

As debêntures devem ser emitidas até 31 de dezembro de 2030 e seguir regras sobre fundos de investimento no setor. Os títulos também poderão conter cláusula de variação da taxa cambial e ser emitidos por sociedades controladoras diretas ou indiretas das empresas concessionárias.
